LIVE EDGE LLC – TERMS & CONDITIONS OF SALE AND PRODUCT POLICIES

1. AGREEMENT TO THESE TERMS

These Terms & Conditions of Sale and Product Policies ("Terms") apply to purchases of products and services from Live Edge LLC, including purchases made under the trade names Brick Mill Furniture and Beam & Baron (collectively, "Live Edge LLC," "Company," "we," "us," or "our").

These Terms apply to purchases and transactions made through our websites, sales representatives, quotes, estimates, sales orders, invoices, payment links, electronic communications, or other purchasing methods.

By placing an order, accepting or approving a quote, signing an agreement, submitting a deposit or payment, paying an invoice or payment link, scheduling or accepting delivery, or otherwise purchasing products or services from Live Edge LLC, you ("Customer," "Buyer," or "you") acknowledge that you have read, understood, and agreed to these Terms.

The brand identified on your quote, order, invoice, product documentation, or other transaction documentation determines which brand-specific policies and requirements apply to your purchase.

2. BRAND-SPECIFIC POLICIES AND ADDITIONAL TERMS

Certain products and transactions may be subject to additional brand-specific policies, product requirements, warranties, specifications, care instructions, delivery requirements, installation requirements, or written terms.

When applicable to your purchase, those documents and requirements are incorporated into these Terms by reference.

For Brick Mill Furniture purchases, applicable Brick Mill Furniture return, warranty, delivery, care, and other product-specific policies form part of these Terms.

For Beam & Baron purchases, applicable Beam & Baron product, return, delivery, acceptance, storage, acclimation, installation, care, warranty, and other product-specific requirements form part of these Terms.

If transaction-specific written terms contained in a quote, sales order, invoice, specification, design approval, or other agreement directly conflict with these general Terms, the transaction-specific written terms will control with respect to that transaction unless otherwise stated.

3. ORDERS AND ACCEPTANCE

All orders are subject to acceptance by Live Edge LLC.

We reserve the right to refuse, limit, place on hold, or cancel an order where reasonably necessary, including due to:

  • Pricing or calculation errors;
  • Product or material availability;
  • Production limitations;
  • Payment issues;
  • Suspected fraud or unauthorized transactions;
  • Incomplete specifications or approvals;
  • Shipping or delivery limitations; or
  • Other circumstances that materially affect our ability to fulfill the order.

Customers are responsible for reviewing all order details before approval or payment, including, as applicable:

  • Product;
  • Species and material;
  • Dimensions;
  • Quantities;
  • Finish;
  • Color;
  • Grade;
  • Configuration;
  • Hardware;
  • Shipping and delivery information; and
  • Other specifications or selections.

For custom or made-to-order products, production or procurement may not begin until all required specifications, selections, approvals, deposits, or payments have been received.

4. PRICING AND PAYMENT

All prices are stated in U.S. dollars unless otherwise indicated.

You agree to pay all charges associated with your purchase, including product charges, applicable shipping or delivery charges, taxes, and other amounts disclosed on the applicable quote, sales order, checkout, invoice, or payment link.

By providing a payment method, you represent that you are authorized to use that payment method and authorize Live Edge LLC and its payment processors to process the charges associated with your transaction.

We reserve the right to correct pricing, calculation, description, or other errors.

If an error materially affects an order that has already been placed, we will make reasonable efforts to contact you regarding the appropriate resolution.

Payment terms appearing on a quote, invoice, payment link, sales order, payment authorization, or other transaction-specific document are incorporated into these Terms.

5. DEPOSITS, PARTIAL PAYMENTS, AND PAYMENT AUTHORIZATIONS

Certain orders may require a deposit, partial payment, installment payment, or other payment arrangement.

The amounts, due dates, and payment schedule stated on the applicable quote, invoice, sales order, payment link, or payment authorization govern that transaction.

If you authorize payment by ACH, bank debit, credit card, or another electronic payment method, you authorize Live Edge LLC and its payment providers to process the payment according to the authorization presented to you.

Payment processing times may vary based on the payment method, payment processor, and financial institution.

6. PRODUCT REPRESENTATIONS AND NATURAL MATERIALS

We make reasonable efforts to accurately describe and represent our products, including their colors, dimensions, materials, characteristics, specifications, and appearance.

However, photographs, digital images, samples, renderings, displays, and electronic screens may not perfectly represent the final product.

Many Brick Mill Furniture and Beam & Baron products incorporate natural wood and other natural materials.

Natural wood may exhibit inherent variation in:

  • Color;
  • Grain;
  • Figure;
  • Knots;
  • Mineral streaks;
  • Density;
  • Texture;
  • Checking;
  • Movement;
  • Character markings; and
  • Other naturally occurring characteristics.

These characteristics are inherent to natural wood and are not necessarily defects.

The appearance of a finished product may vary from samples, photographs, displays, renderings, or previously purchased products.

7. CUSTOM AND MADE-TO-ORDER PRODUCTS

Certain Brick Mill Furniture and Beam & Baron products are custom, made-to-order, specially manufactured, fabricated, cut, finished, modified, or procured specifically for an individual customer.

Once production, procurement, fabrication, cutting, finishing, or other fulfillment activities have begun, changes or cancellations may not be possible.

Customer-requested modifications after an order has been approved may:

  • Be subject to additional charges;
  • Require additional payment before work proceeds;
  • Affect production schedules;
  • Affect estimated completion or delivery dates; and
  • Require written approval.

Customers are responsible for verifying specifications before approving custom or made-to-order products.

8. PRODUCTION AND LEAD TIMES

Production, fulfillment, shipping, and delivery dates are estimates unless Live Edge LLC expressly agrees otherwise in writing.

Lead times may be affected by circumstances including:

  • Material availability;
  • Production capacity;
  • Supplier delays;
  • Freight and carrier availability;
  • Weather;
  • Supply-chain disruptions;
  • Customer-requested changes;
  • Delayed customer approvals;
  • Jobsite conditions;
  • Force majeure events; and
  • Other circumstances outside our reasonable control.

Live Edge LLC does not guarantee estimated completion or delivery dates unless a written agreement expressly states otherwise.

9. SHIPPING, DELIVERY, AND RECEIPT

Shipping and delivery terms vary depending on the applicable brand, product, order, and delivery method.

Customers are responsible for providing complete and accurate delivery information and for ensuring that the delivery location is reasonably accessible for the selected delivery method.

Customers or their authorized representatives should inspect shipments promptly upon delivery.

Visible damage, shortages, incorrect products, or other delivery concerns should be documented and reported as required by the applicable brand-specific delivery policy.

Photographs, packaging, freight documentation, delivery receipts, and other evidence may be required to evaluate a claim.

Additional shipping, storage, redelivery, address-correction, access, or similar charges caused by customer-provided information, customer delays, or conditions at the delivery location may be the customer's responsibility.

9.1 Beam & Baron Delivery Inspection

For Beam & Baron products, the Buyer or Buyer's authorized representative must inspect the products before signing the delivery receipt.

Visible damage, shortages, or incorrect products must be clearly noted on the delivery documentation at the time of delivery.

Signing a delivery receipt without notation constitutes confirmation that:

  • The products were received in acceptable visible condition;
  • The quantities and product types match the order; and
  • No visible defects or damage were identified at the time of delivery.

10. BEAM & BARON TRANSFER OF TITLE AND RISK OF LOSS

For Beam & Baron products, title to the products transfers to the Buyer upon signed delivery acceptance at the delivery location unless transaction-specific written terms state otherwise.

Risk of loss, damage, or deterioration likewise transfers to the Buyer upon signed delivery acceptance.

Following delivery acceptance, the Buyer assumes responsibility for the custody, storage, care, protection, and environment of the products.

Damage arising after delivery acceptance due to storage, handling, environmental conditions, jobsite activity, installation, or other post-delivery circumstances is not considered a manufacturing defect unless otherwise required by applicable law.

11. BEAM & BARON STORAGE AND JOBSITE PROTECTION

The following requirements apply to Beam & Baron products where appropriate for the product and application.

After delivery acceptance, the Buyer is responsible for proper storage, protection, and care.

Products intended for conditioned interior environments must be stored indoors in a dry, enclosed, climate-controlled environment intended for occupancy, with temperature and relative humidity actively and continuously maintained at levels appropriate for the applicable product.

Unless expressly permitted for the applicable product, storage in garages, unconditioned basements, sheds, trailers, partially enclosed structures, or spaces subject to uncontrolled environmental fluctuations is not considered acceptable conditioned storage.

Products must be:

  • Stored off the ground;
  • Elevated above concrete or soil where appropriate;
  • Protected from standing water and moisture intrusion;
  • Protected from inappropriate direct sunlight or heat sources; and
  • Protected from damage caused by jobsite activity, other trades, improper handling, or improper stacking.

Improper or prolonged storage may cause moisture imbalance, movement, checking, warping, staining, surface degradation, or other changes.

Damage, degradation, or performance issues caused by improper storage or post-delivery environmental conditions are not manufacturing defects and may not be covered by warranty.

12. BEAM & BARON ACCLIMATION REQUIREMENTS

Where acclimation is required for a Beam & Baron product, acclimation must occur under appropriate environmental conditions immediately before installation.

Acclimation is a controlled process that allows wood products to adjust to the environmental conditions of the installation space.

The appropriate duration depends on factors including:

  • Product type;
  • Wood species;
  • Product dimensions;
  • Site conditions;
  • Product moisture content;
  • Substrate moisture content; and
  • Environmental stability.

Acclimation must be evaluated through appropriate moisture testing and applicable industry standards rather than by time alone.

For products where such conditions are applicable, normal acclimation environments generally maintain approximately:

  • 60–80°F temperature; and
  • 30–50% relative humidity.

Environmental conditions should be stabilized before, during, and after acclimation and installation as appropriate for the product.

Long-term storage is not acclimation.

Acclimation does not properly occur in uncontrolled or unconditioned environments.

Products stored for extended periods without appropriate environmental control may require additional conditioning or may become unsuitable for installation.

13. BEAM & BARON FLOORING, WIDE-PLANK, AND RADIANT-HEAT REQUIREMENTS

Beam & Baron wood flooring must be stored, acclimated, and installed in accordance with applicable professional and industry standards, including applicable guidance published by the National Wood Flooring Association ("NWFA").

Jobsite conditions, substrate suitability, moisture testing, and environmental stability must be evaluated before installation.

Wide-plank flooring may require additional:

  • Acclimation considerations;
  • Fastening methods;
  • Expansion allowances;
  • Moisture management;
  • Subfloor preparation; and
  • Installation considerations.

Radiant floor heating systems require appropriate preparation, testing, temperature ramp-up procedures, and ongoing environmental controls.

Flooring must not be installed over a radiant heating system that has not been properly operational, tested, and stabilized for the installation.

Movement, gapping, checking, or other performance issues resulting from improper storage, acclimation, environmental conditions, radiant heat operation, jobsite conditions, or installation practices are not manufacturing defects.

14. BEAM & BARON INSTALLATION RESPONSIBILITY AND FINAL ACCEPTANCE

The Buyer and/or installer is responsible for verifying:

  • Jobsite conditions;
  • Product condition;
  • Product suitability;
  • Substrate readiness;
  • Moisture conditions;
  • Environmental stability;
  • Required acclimation;
  • Measurements;
  • Applicable installation requirements; and
  • Applicable building codes and professional standards.

Installation of any portion of a Beam & Baron product constitutes final confirmation of acceptance of the installed material's visible condition, appearance, and suitability for use.

Products that have been installed are not eligible for return or replacement based solely on visible characteristics, damage, defects, or conditions that were reasonably discoverable before installation, except where otherwise required by applicable law.

15. BEAM & BARON PRODUCT-SPECIFIC REQUIREMENTS

15.1 Beams

Structural and decorative beams may exhibit checking, cracking, movement, and other natural changes resulting from environmental conditions.

Handling, storage, and installation should comply with applicable professional standards and guidance, including applicable American Wood Council ("AWC") guidance where relevant.

Natural surface movement occurring after delivery is not necessarily a manufacturing defect.

15.2 Flooring

Flooring must be stored, acclimated, tested, and installed in accordance with applicable professional and industry standards, including applicable NWFA guidance.

Installation of flooring constitutes acceptance of the installed material's visible condition, appearance, and suitability.

15.3 Decking

Decking should be stored off the ground and appropriately protected before installation.

Natural weathering, surface checking, and color changes are expected characteristics of exterior wood products.

Proper spacing, drainage, fastening, and installation practices must be followed.

15.4 Fencing

Fencing products intended for exterior applications will naturally weather after installation.

Products should be appropriately stored, handled, and protected before installation.

15.5 Paneling

Paneling must be inspected before installation.

Natural differences in color, grain, figure, and other wood characteristics are expected.

Installation constitutes acceptance of the installed material's visible condition and appearance.

15.6 Siding

Siding must be appropriately stored and protected before installation.

Proper moisture management, spacing, fastening, ventilation, and other installation practices applicable to exterior wood products must be followed.

Improper storage or premature exposure may affect product performance and warranty eligibility.

15.7 Moulding and Trim

Moulding and trim should be stored flat, dry, and protected before installation.

Minor touch-up following installation may be normal.

Installation constitutes acceptance of the installed material's visible condition and appearance.

15.8 Stair and Rail Components

The Buyer and installer are responsible for accurate site measurements, code compliance, final fit, and installation.

Installation constitutes acceptance of the installed components' visible condition and appearance.

16. INDUSTRY STANDARDS

Where applicable, Beam & Baron products should be stored, acclimated, handled, and installed in accordance with recognized professional standards and manufacturer or industry guidance applicable to the product and application.

Relevant organizations may include:

  • National Wood Flooring Association (NWFA);
  • American Wood Council (AWC);
  • ASTM International;
  • Architectural Woodwork Institute (AWI);
  • Western Wood Products Association (WWPA);
  • American Wood Protection Association (AWPA); and
  • International Code Council (ICC).

Unless otherwise stated in writing, references to industry standards mean standards reasonably applicable to the product, application, and transaction.

Where a specific standard is legally or contractually significant, the applicable version should be determined based on the circumstances of the transaction and applicable law.

17. RETURNS, CANCELLATIONS, AND REFUNDS

Return, cancellation, and refund eligibility varies by brand, product, transaction, and whether the product was custom or made to order.

17.1 Brick Mill Furniture

Brick Mill Furniture purchases are subject to the applicable Brick Mill Furniture return and cancellation policies in effect for the transaction.

Customers should review those policies before purchasing.

Custom, made-to-order, modified, or personalized products may be subject to additional return and cancellation restrictions.

17.2 Beam & Baron

Unless otherwise expressly stated in writing for a particular transaction, Beam & Baron sales are final and no refund will be issued.

Custom, made-to-order, cut, milled, finished, fabricated, modified, specially procured, or installed products may be subject to additional restrictions.

Nothing in this section limits rights or remedies that cannot legally be waived under applicable law.

17.3 Transaction-Specific Terms

If a quote, sales order, invoice, written agreement, or other transaction document contains specific return, cancellation, or refund terms, those terms will control for that transaction to the extent they conflict with a general policy.

18. WARRANTIES AND CLAIMS

Products may be covered by written warranties specific to the applicable brand, product, or transaction.

Any applicable written warranty is incorporated into these Terms by reference.

Warranty claims may require reasonable supporting documentation, including:

  • Photographs;
  • Proof of purchase;
  • Product identification;
  • Delivery documentation;
  • Storage information;
  • Moisture readings;
  • Environmental records;
  • Installation information; and
  • Other documentation reasonably necessary to evaluate the claim.

18.1 Beam & Baron Warranty Eligibility

Where applicable, warranty coverage for Beam & Baron products is contingent upon:

  • Proper delivery inspection and acceptance;
  • Appropriate storage and protection;
  • Appropriate acclimation;
  • Compliance with applicable professional and industry standards;
  • Proper jobsite conditions; and
  • Proper installation.

Beam & Baron is not responsible for damage or conditions caused after delivery acceptance by improper storage, environmental exposure, handling, acclimation, jobsite conditions, installation, maintenance, or other circumstances outside our reasonable control.

19. QUOTES, INVOICES, SALES ORDERS, AND TRANSACTION-SPECIFIC TERMS

Quotes, estimates, sales orders, invoices, payment links, specifications, design approvals, drawings, and other documents issued in connection with a transaction may contain additional terms.

Those transaction-specific terms form part of the agreement between the Customer and Live Edge LLC.

If a transaction-specific written term directly conflicts with these general Terms, the transaction-specific term will control for that transaction unless expressly stated otherwise.

20. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting our websites, communicating with us electronically, submitting forms, approving quotes, paying invoices, and completing electronic transactions constitute electronic communications.

You consent to conducting transactions with us electronically and agree that agreements, notices, disclosures, approvals, authorizations, signatures, orders, invoices, and other records may be created, delivered, accepted, and maintained electronically to the extent permitted by applicable law.

Electronic signatures and electronic acceptance may have the same legal effect as handwritten signatures where permitted by applicable law.

21. CUSTOMER COMMUNICATIONS AND SMS

By providing contact information to Live Edge LLC, Brick Mill Furniture, or Beam & Baron, you authorize us to communicate with you as reasonably necessary regarding:

  • Inquiries;
  • Quotes;
  • Orders;
  • Payments;
  • Production;
  • Shipping;
  • Delivery;
  • Customer service;
  • Warranty matters; and
  • Other transaction-related matters.

Communications may occur through email, telephone, SMS/text messaging, website chat, or other channels you provide or use.

Where marketing consent is required by law, consent to receive marketing communications is not a condition of purchase.

You may opt out of marketing SMS messages by replying STOP.

Message and data rates may apply.

Transactional or service communications necessary to administer an existing order, account, request, or transaction may be treated separately from marketing preferences as permitted by applicable law.

22. PRIVACY AND DATA PROCESSING

Live Edge LLC may collect, maintain, and process information provided by customers or generated through interactions with Brick Mill Furniture and Beam & Baron.

Such information may include:

  • Customer records;
  • Contact information;
  • Communications;
  • Transaction and purchase history;
  • Website activity;
  • Customer service records;
  • Consultation records;
  • Marketing interactions;
  • Product inquiries;
  • Uploaded documents and photographs; and
  • Other information described in applicable privacy policies.

Information may be stored, analyzed, indexed, summarized, classified, combined with other business information, and processed using customer relationship management systems, analytics platforms, business intelligence systems, automation platforms, cloud services, reporting systems, and other technology providers.

Payment card information may be processed directly by our payment processors rather than stored directly by Live Edge LLC.

Additional information concerning our collection, use, disclosure, and processing of personal information is contained in the applicable privacy policy.

23. ARTIFICIAL INTELLIGENCE AND AUTOMATED TECHNOLOGIES

Live Edge LLC may use artificial intelligence ("AI"), machine learning, automation, predictive analytics, and other automated technologies in connection with Brick Mill Furniture and Beam & Baron operations.

These technologies may assist with:

  • Customer service;
  • Sales assistance and consultations;
  • Product recommendations;
  • Design assistance;
  • Quote preparation;
  • Customer communications;
  • Marketing;
  • Advertising optimization;
  • Audience segmentation;
  • Reporting;
  • Business analytics;
  • Predictive analytics;
  • Workflow automation;
  • Internal knowledge management;
  • Employee assistance; and
  • Operational decision support.

Some communications, recommendations, analyses, summaries, or other outputs may be generated or assisted by AI and may subsequently be reviewed, modified, supplemented, or replaced by our employees.

AI-generated or AI-assisted information may contain errors, inaccuracies, or omissions and should not be interpreted as modifying the specifications or legally binding terms of an approved quote, sales order, invoice, written warranty, or other transaction document unless expressly incorporated into that document.

24. COMMUNICATIONS PROCESSING

Communications with Live Edge LLC, Brick Mill Furniture, or Beam & Baron may, where permitted by applicable law, be recorded, stored, transcribed, indexed, analyzed, summarized, categorized, and processed using automated technologies and artificial intelligence.

These communications may include:

  • Telephone calls;
  • Call recordings;
  • Call transcripts;
  • Voicemails;
  • Emails;
  • SMS and text messages;
  • Website chat conversations;
  • Contact forms;
  • Consultation requests;
  • Customer support requests;
  • Product inquiries;
  • Survey responses;
  • Uploaded documents;
  • Uploaded photographs; and
  • Other electronic communications.

Information may be processed for customer service, sales, employee training, internal operations, reporting, marketing effectiveness, advertising performance, customer segmentation, automation, business intelligence, and development and operation of internal business systems.

Except for payment card information processed directly by our payment processors, information may be processed using third-party technology providers, including artificial intelligence, analytics, CRM, automation, communications, cloud, and business software providers.

Such processing remains subject to applicable privacy policies and law.

25. INTELLECTUAL PROPERTY

Live Edge LLC owns or licenses intellectual property associated with its businesses and services, including applicable:

  • Website content;
  • Product photography;
  • Designs;
  • Text;
  • Graphics;
  • Trademarks;
  • Trade names;
  • Logos;
  • Documentation;
  • Drawings;
  • Marketing materials; and
  • Other proprietary content.

Nothing in a purchase transfers ownership of Live Edge LLC's intellectual property except where rights are expressly granted in writing.

26. ERRORS AND CORRECTIONS

Websites, quotes, product descriptions, pricing, specifications, availability information, invoices, sales orders, and other materials may occasionally contain typographical errors, inaccuracies, or omissions.

Live Edge LLC reserves the right to correct errors, inaccuracies, or omissions and update information as reasonably necessary.

If a material correction affects an existing transaction, we will make reasonable efforts to communicate the correction to the affected customer.

27. DISCLAIMER

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR EXPRESS WRITTEN WARRANTIES PROVIDED BY LIVE EDGE LLC, PRODUCTS AND SERVICES ARE PROVIDED SUBJECT TO THE TERMS, CONDITIONS, LIMITATIONS, AND DISCLAIMERS APPLICABLE TO THE TRANSACTION.

LIVE EDGE LLC DOES NOT WARRANT THAT WEBSITE CONTENT, ELECTRONIC COMMUNICATIONS, AI-GENERATED OR AI-ASSISTED OUTPUTS, PRODUCT REPRESENTATIONS, OR OTHER INFORMATION WILL ALWAYS BE ERROR-FREE, COMPLETE, OR CURRENT.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR OTHER RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

28. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIVE EDGE LLC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF USE, OR LOSS OF DATA, ARISING FROM OR RELATED TO A PRODUCT, SERVICE, TRANSACTION, OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY LAW, LIVE EDGE LLC'S AGGREGATE LIABILITY ARISING OUT OF A PARTICULAR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO LIVE EDGE LLC FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Certain jurisdictions do not permit particular exclusions or limitations of warranties or damages. Where those laws apply, these limitations will apply only to the maximum extent permitted by law.

29. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Live Edge LLC and its affiliates, officers, employees, agents, and representatives from third-party claims, losses, damages, liabilities, and reasonable costs arising from:

  • Your material breach of these Terms;
  • Your violation of applicable law;
  • Your infringement of a third party's rights; or
  • Your misuse, improper storage, handling, modification, or installation of products where the claim results from such conduct.

This provision does not require a consumer to indemnify Live Edge LLC for claims resulting solely from Live Edge LLC's own conduct where such indemnification is prohibited by applicable law.

30. FORCE MAJEURE

Live Edge LLC will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:

  • Natural disasters;
  • Severe weather;
  • Fire;
  • Flood;
  • Labor disruptions;
  • Transportation interruptions;
  • Carrier delays;
  • Material shortages;
  • Supplier disruptions;
  • Governmental actions;
  • Utility failures;
  • Communications failures;
  • Epidemics or public emergencies; or
  • Similar circumstances outside our reasonable control.

Such events may result in reasonable adjustments to production, fulfillment, shipping, or delivery schedules.

31. GOVERNING LAW

These Terms and transactions with Live Edge LLC are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

32. DISPUTE RESOLUTION

32.1 Informal Resolution

Before initiating arbitration or formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes informally for at least thirty (30) days after written notice of the dispute is provided.

32.2 Binding Arbitration

Except for disputes excluded below or where prohibited by applicable law, disputes arising from or relating to these Terms or a transaction with Live Edge LLC that cannot be resolved through informal negotiations will be resolved by binding arbitration.

YOU UNDERSTAND THAT BY AGREEING TO BINDING ARBITRATION, YOU MAY BE WAIVING THE RIGHT TO HAVE THE DISPUTE DECIDED BY A COURT OR JURY.

Arbitration will be administered under the applicable rules of the American Arbitration Association ("AAA"), including applicable consumer arbitration rules where required.

Unless applicable law or AAA rules require otherwise, arbitration will take place in Lycoming County, Pennsylvania, or may be conducted through documents, telephone, video conference, or another mutually permitted method.

The arbitrator will have authority to award remedies available under applicable law.

32.3 Court Proceedings

If a dispute is permitted to proceed in court rather than arbitration, the parties consent, to the extent permitted by applicable law, to jurisdiction and venue in the appropriate state or federal courts serving Lycoming County, Pennsylvania.

32.4 Individual Proceedings

To the fullest extent permitted by applicable law, arbitration will be conducted on an individual basis and not as a class, consolidated, or representative proceeding.

32.5 Exceptions

The informal-negotiation and arbitration provisions do not prevent either party from seeking appropriate relief concerning:

  • Intellectual property rights;
  • Theft or unauthorized use;
  • Privacy violations;
  • Injunctive relief;
  • Other claims that applicable law permits or requires to be heard by a court.

33. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions will remain in full force and effect.

34. WAIVER

Failure by Live Edge LLC to enforce a provision of these Terms on one occasion does not constitute a waiver of that provision or our right to enforce it on another occasion.

35. ASSIGNMENT

Live Edge LLC may assign or transfer its rights and obligations under these Terms as permitted by applicable law.

Customers may not assign their rights or obligations under a transaction without our prior written consent where such consent is legally permitted to be required.

36. ENTIRE AGREEMENT

These Terms, together with applicable:

  • Quotes;
  • Sales orders;
  • Invoices;
  • Product specifications;
  • Design approvals;
  • Payment authorizations;
  • Written warranties;
  • Brand-specific policies;
  • Delivery requirements;
  • Product care requirements; and
  • Other transaction-specific written terms

constitute the agreement governing the applicable transaction.

37. CHANGES TO THESE TERMS

Live Edge LLC may update these Terms periodically.

The version in effect when a transaction is entered into will generally govern that transaction unless the parties subsequently agree otherwise or applicable law requires a different result.

The "Last Updated" date at the beginning of these Terms identifies the most recent revision.
